Terms of Service
1. Who we are
Mia is a product of Meritxell Media, Van den Berghstraat 16, 5271 HS Sint-Michielsgestel (The Netherlands), trading as Mia Automation (“we”). Chamber of Commerce 80564186 · VAT NL003457110B94. Contact: info@mia-automation.com.
2. Definitions
- Mia — the digital AI employee that performs tasks in your own isolated environment.
- Mia OS — the online operating system in which Mia builds and manages apps for you.
- Mia DM — the optional chat app (web app) that lets you chat with Mia outside Mia OS; chatting inside Mia OS is included in every plan.
- Mia Credits — prepaid balance used to settle usage (compute).
- Environment — your own isolated server (VM) running your Mia and apps.
3. Applicability
These terms apply to every account, subscription and use of our services. Deviations only apply if agreed in writing. In case of conflict between translations, the Dutch text prevails.
4. Subscription and pricing
You pay a fixed monthly fee for your own environment plus Mia Credits based on usage. Current prices are listed at https://mia-automation.com/prijzen. For every amount we state whether it includes or excludes VAT; your invoice always itemises VAT separately. If you are a consumer, the total price including VAT shown at checkout applies. Subscriptions can be cancelled monthly. Price changes are announced at least 30 days in advance; in case of an increase you may cancel as of the effective date.
5. Payment and late payment
Payments are handled by our payment provider Stripe. The subscription is charged monthly in advance; credits are paid for up front. If a payment or direct debit fails, we notify you and give you the opportunity to pay. If payment is still not made, we may suspend the service after notifying you; your environment and data are retained during a suspension. If you are a consumer, we first send a free reminder with a fourteen-day payment term before any collection costs, and statutory maximum amounts apply. Business customers owe statutory commercial interest and reasonable collection costs on late payment.
6. Mia Credits
Credits are prepaid balance linked to your account. Purchased credits never expire. Monthly free or bonus credits apply for the stated period. Credits are non-transferable and non-refundable except where required by law. Per-task usage is visible in your environment.
7. Availability and maintenance
We work towards the highest possible availability; our approach, targets and remedies are described in the service commitment. Planned maintenance is announced in advance where possible and scheduled outside office hours.
8. What you may expect from the service
We deliver the service as you may expect on the basis of the agreement and our public information: working, secure and with the features described on our website. For as long as your subscription runs, we provide the updates needed to keep the service working and secure. If something does not work as agreed, report it within a reasonable period after discovering it and we will fix it free of charge. If we cannot repair it within a reasonable period, you are entitled to a proportionate price reduction or to terminate the agreement. For consumers, the mandatory rules on digital services under Dutch civil law apply.
9. Your data
Your data remains yours. Our handling of personal data is described in the privacy policy. For business customers on whose behalf we process personal data, the data processing agreement applies. We never sell data and never train AI models on your data.
10. Fair use
You will not use the services for illegal activities, spam, infringement of third-party rights, circumventing security, or reselling the service without agreement. In case of abuse we may restrict or terminate an environment after warning (or immediately, in case of acute danger). You are responsible for keeping your login details confidential and for what happens under your account; if you suspect misuse, report it immediately to info@mia-automation.com.
11. AI output and responsibility
Mia runs on AI models. They are powerful but not infallible: output may contain errors. Important actions (such as emails to customers) are prepared as drafts by default. You remain responsible for decisions based on output and for the content you have Mia process or publish.
We always make clear that you are interacting with an AI system: Mia never presents itself as a human. If you publish text, images or messages created by Mia, it is up to you to decide whether and how you disclose that they were AI-generated — and we are happy to help you set that disclosure up correctly. This follows the transparency obligations of the European AI Act.
12. Intellectual property
The platform (Mia, Mia OS, its software and branding) is and remains ours. Everything created for you in your environment — documents, content and the source code of your apps — is yours to use without restriction, also after your subscription ends. What you supply remains yours; you only grant us the limited right of use needed to deliver the service. If we want to use your name or logo as a reference, we ask your permission first.
13. Liability
Our total liability per event is limited to the amount you paid us in the preceding three months. We are not liable for indirect damage (such as lost profit or loss of data beyond our backup obligations). These limitations do not apply in case of our own intent or wilful recklessness, in case of damage from death or personal injury, and not insofar as mandatory law — including statutory consumer rules and liability under the GDPR — precludes them.
14. Force majeure
If we are temporarily unable to perform because of something beyond our control — such as a prolonged outage at a data centre or network provider, a large-scale cyberattack, government measures or a power or internet failure — that constitutes force majeure and we owe no damages for that period. We inform you as soon as possible and do what can reasonably be done to restore the service. If force majeure lasts longer than 30 days, either you or we may terminate the agreement; amounts prepaid for the undelivered period are refunded. Inability to pay is not force majeure.
15. Right of withdrawal (consumers)
If you purchase as a consumer at a distance, you have a 14-day cooling-off period, starting the day after the agreement is concluded. You withdraw by telling us unambiguously within those 14 days — an email to info@mia-automation.com is enough. You may use the European model withdrawal form, but you do not have to. We confirm your withdrawal by email.
After withdrawal we refund all payments received from you within 14 days, using the same means of payment you used, unless you expressly agree otherwise. Refunds never cost you anything extra.
Two exceptions, exactly as the law provides. (1) If you expressly ask us to start during the cooling-off period, you pay pro rata for the part delivered up to the moment of withdrawal. (2) If it concerns digital content supplied immediately and you have expressly consented to that immediate supply and acknowledged that you thereby lose your right of withdrawal for that part, the right of withdrawal lapses for the part supplied; we always confirm that consent in writing. We ask for both explicitly at checkout — never hidden in a pre-ticked box.
16. End of subscription
You can cancel monthly, without notice period and without giving a reason, via your account or by emailing info@mia-automation.com. Cancelling is never harder than signing up.
We may terminate the agreement with 30 days' notice, or sooner in case of a serious breach of these terms that you fail to remedy within 14 days of our written warning — or immediately in case of acute danger, fraud or illegal use. We then refund the prepaid amount for the undelivered period, unless the termination is due to your serious breach.
After termination you can request an export of your data and apps up to 30 days after the end date. After that we permanently delete your environment, including backups within the following backup cycle. Remaining purchased credits stay valid for 12 months if you restart later.
17. Complaints
If you are unhappy about something, tell us at info@mia-automation.com or via /support. We acknowledge your complaint within two business days and give a substantive response within fourteen days; if we need longer, we say so and indicate when you can expect an answer. If we cannot resolve it together, you may bring the dispute before the competent court (clause 20).
18. Changes
We may amend these terms. Material changes are announced at least 30 days in advance by email. If you disagree, you may cancel free of charge as of the effective date. We keep earlier versions and send them on request.
19. Assignment and validity
You may not transfer your rights and obligations under this agreement to a third party without our consent. We may do so in the event of a merger or acquisition of our business; we will inform you in advance and you may then cancel free of charge. If a provision turns out to be invalid, the remaining provisions continue to apply and we replace the invalid provision with a valid one that comes as close as possible to its intent.
20. Law and disputes
Dutch law applies. Disputes are submitted to the competent court in the district of Oost-Brabant. As a consumer you retain the right to bring the dispute before the court designated as competent by law, and the mandatory rules of your country of residence apply in full.
